Additional capital<br />
</strong>NedSense enterprises n.v. (&#8220;NedSense&#8221; or “Company”) has reached conditional agreement with a group of investors represented by Nantahala Capital Management, LLC (&#8220;the Investors Group&#8221;) with regard to a private placement of new shares to finance the LOFT growth strategy. Existing major shareholders Project Holland Fonds and Todlin are committed to support the placement and inter alia to vote in favor for the issue of shares to the Investors Group.</p>
<p>The Investors Group contains a number of strategic business partners who have knowledge of and have an extensive network in the US and international home furnishing markets, the key growth markets for LOFT. The NedSense board of directors (&#8220;Board of Directors&#8221;) is therefore very pleased with its new potential shareholder. Furthermore NedSense has agreed that the Investors Group has the right to nominate a candidate as a member of the NedSense supervisory board (&#8220;Supervisory Board&#8221;) and who will take over the position of Mr. Jansen as Chairman of the Supervisory Board.</p>
<p>The issue of new shares, which, among other things, is subject to the approval of the General Meeting of Shareholders (“AGM”), concerns a private placement of € 2.48 million of newly issued ordinary shares in the NedSense capital to investors against an issue price of € 0.33 per share, representing a total of 7,515,152 ordinary shares. If and when these shares are issued, the total number of shares in the NedSense capital amounts to 28,596,495 shares.</p>
<p>For the admission to the trading of the ordinary shares issued to the Investors Group, NedSense uses the exemption in Article 53 paragraphs 2 and 3 ‘Vrijstellingsregeling’ Wft and is therefore exempt from the prospectus requirement. The issue of shares requires the approval of the AGM which will take place on June 11, 2013.</p>
<p><strong>Update Strategic Orientation<br />
</strong>As part of the investigation announced in June 2012 into the strategic options of the Company, the Board of Directors held talks with several parties. The Company was advised by BoerCroon. Clifford Chance provides legal advice to NedSense. All relevant strategic options have been explored. Based on the agreed strategic framework with the Supervisory Board all options and proposals of the parties have been assessed. The announced investment fits well in this context, whereby in particular the contribution of business partners linked to the Investors Group are of strategic importance for the NedSense Loft division.</p>
<p>NedSense will continue the strategic orientation with a particular focus on further partnerships for the Loft division. When appropriate, NedSense will give further information.</p>
<p><strong>AGM<br />
</strong>At the AGM, which will take place on June 11, 2013, shareholders present will be asked inter alia to approve the proposal to issue shares to investors represented by Nantahala under exclusion of the pre-emptive right. In addition, approval will be asked for the granting of warrants to the Investors Group. Furthermore it will be submitted to the AGM to approve the nomination of the candidate proposed by the Investors Group as member of the Supervisory Board. Also a Supervisory Board proposal will be submitted to the AGM to complement the existing remuneration of the Board of Directors.</p>

<p>Launched in 2006, Quodes offers a platform for a niche audience that aims to enhance their interior with a piece of timeless quality design furniture from one of the leading designers it counts in its platform. Many Quodes pieces have won international acclaim and recognition, such as table ‘Stammtisch’ by Alfredo Häberli, which was selected last January as a Winner of the Interior Innovation Award by the German Design Council.</p>
<p>LOFT4Brands (the latest cloud based addition to the LOFT portfolio) will be available to all sales agents of Quodes in their 54 showrooms in 16 countries and to its end consumers via its online store offering a full 3D perspective of all products in their own chosen ‘online’ room.</p>

Paul Vernhout has been appointed as LOFT Sales Manager for Europe, Middle East and Africa, leading the sales strategy into new retail and manufacturing accounts for the wider home design sector. In addition Enrico Rosa has joined as Director Software Development, in charge of the production of the entire LOFT solution suite and Sjoerd van der Zwaan as the Chief Technology Officer overseeing all R&amp;D and technology strategies for LOFT.</strong></p>
<p>The LOFT technology enables retail stores and manufacturers alike to create personal virtual rooms in 3D, showcasing their entire product range, whether this concerns furniture, flooring, wall or window covering. Users such as end customers, show room staff and sales agents can upload pictures of their own rooms or choose from a selection of prefab room designs, and select a range of products to turn their existing environment into a new and realistic 3D experience.</p>

(NYSE Euronext Amsterdam: NEDSE) announces today that one of the Netherlands’ largest home design retailers Trendhopper, part of VME Nederland BV, has signed a contract to implement the company&#8217;s LOFT@Web to support its multi-channel distribution network.</strong></p>
<p>The LOFT technology will initially enable Trendhopper showroom staff of their franchise holders to create personal virtual rooms in 3D for customers in their showrooms, showcasing Trendhopper’s product range in the customer’s own home context. Users can upload pictures of their own rooms or choose from a selection of prefab room designs, and lift products of choice in that picture to create a realistic 3D experience. This way customers move faster from browsing to buying, feeling sure that the item of choice will fit in their own home environment. In a second stage LOFT@Web will be available on the Trendhopper website followed by integration with the Trendhopper web shop.</p>

<h1 align="center"><strong>NedSense publishes trading update for Q3 2012</strong></h1>

<p>NedSense enterprises n.v. (“NedSense”) achieved a year-over-year growth in revenue of over 10% in the first nine months of 2012 while operating costs increased only slightly compared to 2011, both including the USD effect. The third quarter showed stable revenues and lower operating costs compared to the same period in 2011. NedSense will usually generate more sales in the fourth quarter as compared to other quarters of the year. The operating result, although negative, improved compared to 2011 (both year-on-year as well on a quarterly basis).</p>
<p>&nbsp;</p>
<p>The LOFT business showed a strong revenue increase, both year-to-date as well as in the third quarter compared to the same period in 2011. Due to increased development costs in the LOFT product suite, operating costs increased.</p>
<p>&nbsp;</p>
<p>NedGraphics’ revenues in the third quarter were stable compared to the same period in 2011. For the first nine months revenues increased compared to the same period last year due to a strong first half in 2012. Operating costs of the NedGraphics division decreased both year-on-year as well as on a quarterly basis versus 2011.</p>
<p>&nbsp;</p>
<p>Crate&amp;Barrel successfully launched the ‘3D room designer, powered by NedSense LOFT’. Online, as well as in stores, customers from Crate&amp;Barrel are able to use the LOFT software while marrying Crate&amp;Barrel’s products in their own personal spaces. All LOFT projects are well on track including a recently signed project with Carpet Court. The LOFT divison is focused on further developing LOFT with several important milestones for the roll out.</p>
<p>&nbsp;</p>
<p>NedGraphics continues to invest in new functionalities to enhance and preserve its leading position in the fashion and textile market. In the third quarter, we were able to close a considerable deal with 11 universities in India. These universities will integrate the NedGraphics product suite in their college programmes providing foundations for continued expertise in CAD software.</p>
<p>&nbsp;</p>
<p>As recently announced NedSense is conducting exploratory talks with a number of parties following the announcement in June in which the company expressed its wish to examine its strategic options. Starting point is the assessment of all alternatives to raise capital for further growth of the LOFT business.</p>
<p>Last week, at the extraordinary shareholders meeting Chris Jansen and Richard Louwers were appointed as members of the new Supervisory Board.</p>

<p>Starting point is the assessment of all alternatives to raise capital for further growth of the Loft business. Each alternative is scrutinized by the Supervisory Board and Board of Directors in the interest of NedSense enterprises n.v., the related company and in the interest of all stakeholders including shareholders, other capital providers, employees, customers and suppliers.</p>

<p>The LOFT technology will enable Carpet Court staff and customers to create personal virtual rooms in 3D, showcasing Carpet Court’s extensive product range. Users can upload pictures of their own rooms or choose</p>
<p>from a selection of prefab room designs, and select a range of flooring options including tiles, carpet, bamboo, vinyl, laminate and cork floors.</p>
<p>LOFT@Web will feature on the Carpet Court website for online customers trying to visualize what a particular type of flooring would look like in a home or commercial space. LOFT@iPad will find its way to the over 200 Carpet Court stores equipping sales staff with a state-of-the-art tool to help advise on flooring choices and generate sales.</p>
